By accessing or using the Panera Bread website, mobile application, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our Services.

We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Services after any modification indicates your acceptance of the modified Terms.

2. Services Description

Panera Bread provides an online platform that allows users to:

• Browse our menu of food and beverage items
• Place orders for pickup or delivery
• Create and manage user accounts
• Join our MyPanera® loyalty program
• Access nutritional information and allergen details
• Locate nearby Panera Bread bakery-cafes

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content.

3. User Accounts

To access certain features of our Services, you may be required to create a user account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately if you discover or suspect any security breaches related to your account
• Take responsibility for all activities that occur under your account

You must be at least 13 years old to create an account. If you are between 13 and 18 years old, you must have your parent or guardian's permission to use our Services.

4. Ordering & Payments

When placing an order through our Services:

For quality issues, please contact us within 24 hours of your purchase. Refunds or replacements will be provided at our discretion.

5. Intellectual Property

6. User Conduct

• Any content obtained from the Services

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you.

8. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services or delete your account through the account settings.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in St. Louis County, Missouri, and you consent to the personal jurisdiction of such courts.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
